Important Notice

Welcome to Voxsail. These Voxsail Terms of Service (the "Terms" or this "Agreement") are entered into between you and 合肥强石信息科技有限公司 ("we," "us," or "our") regarding your access to, registration for, login to, purchase of, upload to, input into, editing in, export from, download from, or other use of Voxsail products and services.

These Terms include the main body of these Terms and any service rules, operating instructions, page prompts, order rules, subscription and credit rules, upload rules, privacy policies, notices, and announcements that we have published or may publish in the future and display to you in a reasonable manner. The foregoing form an integral part of these Terms and have the same effect as these Terms.

Please read and fully understand these Terms before using Voxsail, especially the provisions highlighted in bold regarding account responsibilities, user content authorization, fees and refunds, AI-generated content, prohibited conduct, disclaimers, limitations of liability, breach handling, service termination, governing law, and dispute resolution. If you do not agree to any part of these Terms, please immediately stop registering for, logging in to, or using the Service. By clicking to agree, registering, logging in, submitting a project, purchasing a plan, uploading materials, exporting or downloading, or continuing to use the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you are under 18 years old, please read these Terms with your guardian and use the Service only after obtaining your guardian's consent. If you use the Service on behalf of a legal entity or other organization, you confirm that you have authority to accept these Terms on behalf of that organization; otherwise, you may not use the Service in the name of that organization.

1. Definitions and Interpretation

1. Voxsail Service: the audio/video translation, subtitle transcription, text dubbing, voice cloning, editor, glossary, export and download, subscription plan, credits, storage quota, customer support, and related services that we provide to users through the official website at https://www.voxsail.com and related web products. If we add clients, mini programs, plugins, APIs, or other service forms in the future and those services reference these Terms, these Terms will also apply to those services.

2. Operator: the operator identified in these Terms that provides, operates, and maintains the Voxsail Service.

3. User or you: any natural person, legal entity, or other organization that registers for, logs in to, accesses, uploads to, inputs into, edits in, exports from, downloads from, purchases, or otherwise uses the Voxsail Service.

4. Account: the user account that you register for or log in to and use for the Voxsail Service. An account may be created or accessed through a mobile number, email address, verification code, password, or third-party login method supported by us.

5. User Content: text, documents, subtitles, audio, video, images, links, glossaries, project configurations, voice materials, feedback, comments, order notes, and other content that you upload, input, submit, edit, generate, save, publish, share, or otherwise provide through the Voxsail Service.

6. Input Content: original content that you upload, input, or submit in order to use the Service, including videos, audio, subtitles, documents, text, links, voice cloning materials, glossaries, and configuration parameters.

7. Output Content: content generated by the system based on your Input Content and configurations, including transcripts, translations, subtitles, dubbed audio, voice models, preview files, exported audio, exported video, manuscripts, and other deliverables.

8. Subscription Plans and Credits: member benefits, periodic credits, purchased credits, bonus credits, storage quotas, upload limits, concurrency capacity, voice clone limits, and other benefits that we provide based on the rules displayed on the relevant pages.

9. Affiliates: entities that directly or indirectly control us, are controlled by us, or are under common control with us.

2. Service Content

Voxsail is a SaaS service for audio/video localization and content recreation. We currently focus on the following capabilities. Specific functions, entries, availability, limitations, and fees are subject to the actual display on the relevant pages:

1. Audio/video translation: supports creating projects by uploading videos, uploading audio, or entering links. The system may perform language recognition, subtitle transcription, subtitle translation, dubbing generation, background audio processing, synthesis, export, and other processing based on your configurations.

2. Subtitle transcription: supports speech recognition, subtitle generation, subtitle editing, and subtitle export for audio or video.

3. Text dubbing: supports entering or pasting text, or uploading documents and parsing text, then selecting a voice to generate dubbed audio. If you choose dubbing after translation, the system will translate the text and generate dubbed audio based on the translation.

4. Voice cloning: supports your uploading or recording legally authorized audio or video materials to create, manage, and use cloned voices. You may not upload another person's voice, likeness, performance, or other protected content without authorization.

5. Editor and general capabilities: include subtitle editing, translation editing, timeline adjustment, subtitle styles, single-sentence redubbing, volume or speech-rate adjustment, glossary application, project renaming, export, download, and related functions.

6. Subscriptions, credits, and storage quotas: Voxsail may manage feature usage through free quotas, subscription plans, purchased credits, bonus credits, storage quotas, and similar mechanisms. Specific plans, credit prices, bonus rules, consumption rules, benefit scope, and feature unit prices are subject to the pricing page at https://www.voxsail.com/en/pricing and the product pages.

We may adjust service content, service forms, feature entries, processing flows, limitation rules, and fee standards from time to time based on business development, user feedback, compliance requirements, technical conditions, and operational needs. For major adjustments, we will notify you through page announcements, in-site messages, emails, pop-ups, or other reasonable means.

3. Account Registration, Login, and Management

1. Before using the full Voxsail Service, you generally need to register for or log in to an account. Users who are not logged in may be unable to create formal projects, upload files, enter the editor, export or download, view projects, view credit details, or manage account benefits.

2. You must provide true, accurate, lawful, and valid registration information and update it promptly if it changes. If the information you provide is untrue, inaccurate, incomplete, or unlawful, or if we have reasonable grounds to suspect the foregoing, we may refuse registration, require correction, restrict features, suspend, or terminate the account.

3. You must properly safeguard your account, password, verification codes, login QR codes, and login devices. Operations performed through your account will be deemed your own actions, and you are responsible for those actions and their consequences. If you discover account theft, abnormal login, or a security risk, please contact us promptly at chenpeng@baiqiang.cn.

4. You may not transfer, rent, lend, sell, gift, or share your account, register accounts in an automated, batch, malicious, or false identity manner, or impersonate another person or organization when using the Service.

5. You may apply to cancel your account by contacting chenpeng@baiqiang.cn. After account cancellation, you may no longer be able to access projects, files, export results, subscription benefits, credits, orders, cloned voices, glossaries, or other data under that account. Account cancellation does not exempt you from payment obligations, breach liabilities, or legal responsibilities already incurred before cancellation.

4. User Conditions and Device Requirements

1. You are responsible for preparing the devices, browsers, network environment, storage space, and third-party accounts required to use the Voxsail Service, and for bearing internet access, communications, device, software, payment, and related costs.

2. You must ensure that your devices, browsers, and network environment meet the minimum requirements shown on the relevant pages. If the Service is unavailable, processing fails, results are abnormal, or data is lost due to your device, system, browser, network, third-party plugin, file format, file quality, or similar reasons, we will provide support within a reasonable scope but will not be liable for losses arising from those reasons.

3. You may not access, interfere with, scrape, test, attack, or abuse the Voxsail Service through unauthorized plugins, add-ons, scripts, crawlers, batch tools, API calls, or other automated means.

5. Paid Services, Subscriptions, Credits, and Refunds

1. Some Voxsail features may be paid services. When purchasing subscription plans, credit packages, value-added services, or other paid items, you must pay according to the product name, benefit content, price, validity period, payment method, and other transaction rules displayed on the purchase page.

2. Payment services may be provided by duly qualified third-party payment service providers. When using third-party payment services, you must also comply with that third party's terms of service and privacy policy.

3. Subscription plans may include periodic credits, member benefits, upload limits, concurrency capacity, cloned voice limits, storage quotas, and other benefits. Purchased credit packages are usually used to supplement your credit balance and do not necessarily unlock subscription benefits or increase storage quotas separately. The specific rules are subject to the product pages.

4. You understand and agree that cloud services, AI processing, audio/video processing, virtual benefits, credits, and digital content services involve immediate consumption, cannot be physically returned, and may incur processing costs once submitted. Unless otherwise required by law, expressly promised on the relevant page, or separately agreed by us in writing, paid fees, effective benefits, consumed credits, and submitted processing projects generally do not support no-reason refunds.

5. To request a refund, contact chenpeng@baiqiang.cn. We will review and process the request based on the order status, benefit usage, credit consumption, technical logs, and applicable laws and regulations.

6. If we provide invoice issuance services, you must provide true, accurate, and complete invoicing information in accordance with the applicable page rules or customer service instructions.

7. We may adjust prices, plan benefits, credit rules, and charging methods based on market conditions, operating costs, feature changes, third-party service prices, exchange rates, taxes, and compliance requirements. Adjusted prices and rules will be displayed on the product pages or through reasonable means; if you continue to purchase or use paid services after the adjustment, you will be deemed to have accepted the adjusted rules.

6. User Content, Authorization, and Legality Commitments

1. You are responsible for your Input Content, Output Content, and all actions you take using the Voxsail Service. You warrant that you own or have obtained all rights, licenses, and authorizations required to use, upload, process, edit, translate, dub, clone voices from, export, download, publish, and share the relevant content.

2. You warrant that User Content does not violate laws and regulations, public order and good morals, platform rules, or the lawful rights and interests of any third party, and does not infringe any third party's copyrights, trademarks, patents, trade secrets, portrait rights, name rights, reputation rights, privacy rights, personal information rights, voice rights, performers' rights, data rights, or other rights.

3. Your uploading, inputting, or submitting User Content does not transfer intellectual property rights in such content to us. Unless otherwise provided in these Terms, rights in Input Content and Output Content belong to you or the original rights holders.

4. To provide and improve the Voxsail Service, you grant us, our affiliates, and our service providers a non-exclusive, worldwide, royalty-free license within the necessary scope to store, copy, transcode, analyze, process, translate, generate, synthesize, display, transmit, cache, back up, download, and otherwise process User Content for the purpose of providing services to you, performing these Terms, ensuring security, troubleshooting, handling complaints, complying with laws and regulations, and protecting lawful rights and interests.

5. If we need to use User Content for model training, public display, marketing, or other purposes unrelated to the service you requested and beyond the necessary service scope, we will separately obtain your authorization or provide a corresponding choice mechanism in accordance with law, unless laws and regulations provide otherwise.

6. If you submit questions, suggestions, feedback, requirements, or improvement ideas to us, unless you expressly state otherwise, you agree that we may use such feedback free of charge for the purpose of improving products and services, but we will not thereby acquire ownership of your User Content itself.

7. AI-Generated Content, Voice Cloning, and Synthetic Content Labeling

1. Voxsail's transcription, translation, dubbing, voice cloning, audio/video synthesis, subtitle generation, manuscript generation, and related functions may be completed by algorithms, AI models, or automated systems. Due to technology, material quality, language differences, context, speakers, background noise, model capability, and other factors, Output Content may contain errors, inaccuracies, incompleteness, unnatural expressions, omissions, bias, or results that do not meet expectations. Output Content is for your reference, editing, and confirmation only and does not constitute professional advice, a factual guarantee, or any commitment regarding results.

2. Before publishing, distributing, commercially using, or submitting Output Content to a third party, you must independently review its accuracy, legality, completeness, copyright status, and suitability, and perform manual proofreading, modification, or supplementation as appropriate.

3. You may not use the Voxsail Service to create, generate, or distribute false information, fraudulent content, infringing content, unlawful content, content impersonating another person, or Output Content for the purpose of misleading the public, harming others' rights, evading regulation, or circumventing platform review.

4. If laws, regulations, platform rules, or content publication channels require AI-generated or synthetic content to be labeled, you must label it clearly and lawfully. Depending on the applicable scenario, we will use page notices, perceptible explicit labels, file metadata, or other methods required by applicable laws and regulations.

5. For features that may involve voice, likeness, personality rights, or performers' rights, such as voice cloning, original voice cloning, lip sync, and dubbing, you must ensure that you have obtained lawful authorization from the relevant rights holders. If any complaint, dispute, penalty, claim, or loss arises from your failure to obtain authorization or your use beyond the authorized scope, you are responsible for it; we may delete relevant content, restrict features, suspend accounts, terminate services, and require you to compensate us for losses.

8. User Conduct Rules

When using the Voxsail Service, you must comply with laws and regulations, these Terms, page rules, public order, and good morals, and must not engage in the following conduct:

1. Opposing the basic principles established by the Constitution, endangering national security, leaking state secrets, subverting state power, or undermining national unity;

2. Damaging national honor or interests, promoting terrorism, extremism, ethnic hatred, or ethnic discrimination, or undermining ethnic unity;

3. Undermining national religious policies, or promoting cults or feudal superstition;

4. Fabricating or spreading rumors or false information, or disrupting economic, social, or public order;

5. Creating, copying, uploading, processing, publishing, or distributing obscene, pornographic, gambling-related, violent, murderous, terrorist, crime-inciting, vulgar, or disturbing content;

6. Infringing the lawful rights and interests of minors or harming minors' physical or mental health;

7. Secretly photographing, recording, collecting, uploading, cloning, synthesizing, processing, or distributing another person's likeness, voice, personal information, privacy, works, or other protected content without authorization;

8. Insulting, defaming, threatening, harassing, or doxxing others, or infringing others' reputation rights, privacy rights, portrait rights, name rights, personal information rights, or other lawful rights and interests;

9. Infringing others' copyrights, trademarks, patents, trade secrets, performers' rights, voice rights, data rights, or other intellectual property rights and lawful rights and interests;

10. Using the Service to conduct fraud, phishing, money laundering, illegal transactions, malicious marketing, spam sending, traffic cheating, account cheating, billing circumvention, or improper acquisition of benefits;

11. Avoiding, deleting, tampering with, or hiding AI-generated content labels, watermarks, copyright notices, security prompts, or other identifiers that we or laws and regulations require to be added;

12. Reverse engineering, decompiling, disassembling, cracking, tampering with, vulnerability scanning, stress attacking, scraping data from, batch registering for, simulating requests to, abusing APIs of, or otherwise affecting the security and stability of the Voxsail Service;

13. Using unauthorized plugins, add-ons, bots, scripts, crawlers, automation tools, or similar technologies to access, copy, monitor, interfere with, or abuse the Service;

14. Any other conduct that violates laws and regulations, regulatory requirements, these Terms, page rules, public order and good morals, or infringes the lawful rights and interests of us, other users, or third parties.

Based on reasonable judgment, we may review suspected violating content, projects, accounts, or conduct and take measures including prompts, refusal to process, deletion of content, upload restrictions, export restrictions, download restrictions, deduction or freezing of benefits, suspension of certain functions, account suspension, account closure, prohibition on re-registration, record preservation, and reporting to competent authorities.

9. Intellectual Property

1. Intellectual property rights and related rights in the Voxsail Service and the page designs, product functions, software, code, APIs, models, algorithms, documents, trademarks, logos, graphics, text, audio/video materials, templates, databases, technical solutions, and other content provided by us belong to us or the corresponding rights holders.

2. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Voxsail Service in accordance with these Terms and product page instructions.

3. Without prior written permission from us or the relevant rights holders, you may not copy, modify, adapt, translate, publish, distribute, sell, rent, license, reverse engineer, disassemble, scrape, mirror, build competing products from, or otherwise use any content or technology in the Voxsail Service that you do not own.

4. We respect intellectual property rights. If you believe that content in the Voxsail Service infringes your lawful rights and interests, please submit a complaint through the customer service, complaint, and privacy contact email listed in these Terms and provide proof of ownership, locating information for the complained-of content, an infringement explanation, contact details, and a statement of truthfulness. We will handle it in accordance with law and applicable rules.

10. Privacy Protection

We value the protection of your personal information and privacy. We will collect, use, store, share, and protect your personal information in accordance with the Voxsail Privacy Policy (./Voxsail%20Privacy%20Policy.md). Please read and understand the Voxsail Privacy Policy (./Voxsail%20Privacy%20Policy.md) in full before using the Service. If these Terms and the Privacy Policy are inconsistent regarding personal information processing matters, the Privacy Policy will prevail; for service use, transactions, accounts, rights and obligations, and breach liabilities, these Terms will prevail.

11. Third-Party Services

The Voxsail Service may access or rely on third-party services, including third-party login, payment, cloud computing, cloud storage, content delivery, SMS/email, audio/video processing, speech recognition, machine translation, speech synthesis, voice cloning, content moderation, data analytics, and customer support systems.

When using third-party services, you must also comply with the third party's terms of service, privacy policy, and usage rules. Third-party services are independently operated by the corresponding third parties. We will prudently select service providers within a reasonable scope and require them to adopt security measures, but we do not guarantee the availability, accuracy, stability, security, or rule changes of third-party services.

12. Advertising, Notices, and Commercial Information

1. We may send you service notices, order notices, account security reminders, project status updates, file expiration reminders, Terms updates, maintenance announcements, and similar information through website announcements, in-site messages, pop-ups, SMS, emails, customer service messages, or other contact information you provide.

2. Subject to compliance with laws and regulations, we may send you product campaigns, promotions, surveys, or commercial marketing information. You may unsubscribe using the method in the message or by contacting the customer service, complaint, and privacy email listed in these Terms.

3. You must ensure that the contact information you provide is true, accurate, and valid, and promptly check notices sent by us. You are responsible for consequences caused by incorrect, invalid, rejected, or unchecked contact information, or by issues with third-party communication services.

13. Service Changes, Interruptions, and Termination

1. We will use reasonable efforts to ensure service continuity and security, but you understand and agree that the Service may be changed, interrupted, delayed, erroneous, subject to data loss, or terminated due to maintenance and upgrades, system adjustments, network failures, equipment failures, third-party service abnormalities, model service abnormalities, payment channel abnormalities, force majeure, regulatory requirements, user violations, or other reasons.

2. We may adjust, suspend, discontinue, or terminate part or all of the Service based on business development, technical conditions, compliance requirements, or operational arrangements. For major changes, we will try to notify you in advance through reasonable means, except in cases such as urgent security incidents, regulatory requirements, sudden abnormalities of third-party services, or force majeure.

3. If we stop operating the Voxsail Service, we will notify you through announcements, in-site messages, emails, or other reasonable means in accordance with law, and process your account, projects, files, subscription benefits, and personal information within a reasonable period, unless laws and regulations provide otherwise.

4. When accessing or using the Service from any country or region, you must comply with applicable local laws and may not use the Service in prohibited or restricted scenarios.

14. Disclaimers and Limitation of Liability

1. The Voxsail Service is provided based on existing technologies and conditions. We will use reasonable efforts to keep the Service secure, stable, and available, but we do not promise that the Service will never be interrupted, be error-free, be vulnerability-free, be completely accurate, or fully meet your specific needs, nor do we promise that Output Content will be completely correct, complete, reliable, merchantable, fit for a particular purpose, or non-infringing.

2. To the extent permitted by law, we will not be liable for service unavailability, data loss, project failure, abnormal output, loss of benefits, or other damages caused by force majeure, network or telecommunications failures, third-party service abnormalities, hacker attacks, viruses, system maintenance, regulatory requirements, your device or network issues, your improper operation, quality issues in materials you upload, or your violation of these Terms or laws and regulations.

3. You must back up important Input Content, Output Content, and exported files yourself. Project files and export results may be limited by validity periods, storage quotas, account status, subscription benefits, or page prompts. If files expire, accounts are cancelled, projects are deleted, or retention periods are exceeded, related content may not be recoverable.

4. To the maximum extent permitted by law, we will not be liable for indirect losses, loss of profits, loss of goodwill, data loss, business interruption, third-party claims, or punitive damages arising from your use of or inability to use the Service. If we must bear liability under law, our cumulative liability to you will be capped at the fees you actually paid to us for the relevant service giving rise to the liability during the six months before the dispute arose; if you paid no fees, the cap will be RMB 100, unless mandatory laws and regulations provide otherwise.

15. Breach Handling and Indemnification

1. If you violate these Terms, page rules, laws and regulations, or infringe any third party's rights, we may take measures as appropriate, including warnings, refusal of service, deletion of content, feature restrictions, freezing of benefits, account suspension, account closure, prohibition on re-registration, record preservation, reporting to competent authorities, cooperation with investigations, and pursuit of legal liability.

2. You are solely responsible for any third-party complaint, report, claim, lawsuit, arbitration, administrative penalty, or other loss arising from your unlawful, breaching, infringing, or improper use. If we, our affiliates, employees, partners, or other users suffer losses as a result, you must compensate all losses, including reasonable attorneys' fees, investigation and evidence collection fees, notarization fees, litigation fees, arbitration fees, administrative fines, settlement payments, compensation payments, loss of goodwill, and other reasonable expenses.

3. You agree that we may preserve logs, projects, content, account, order, payment, communication, and other records related to violating conduct within the necessary scope, and provide them to rights holders, regulators, judicial authorities, or other competent authorities in accordance with law.

16. Terms for Minors

1. Minors should use the Voxsail Service with guardian consent and guidance. Guardians should help minors correctly understand these Terms, the Privacy Policy, and service risks, and bear guardianship responsibility for minors' use.

2. Minors may not use the Voxsail Service to create, upload, process, or distribute content unsuitable for minors, and may not over-rely on or become addicted to using the Service.

3. If a guardian discovers that a minor has used the Service or submitted personal information without consent, the guardian may contact us through the contact methods listed in these Terms, and we will handle the matter in accordance with law.

17. Updates to These Terms

We may update these Terms based on changes in laws and regulations, regulatory requirements, service adjustments, business changes, third-party service changes, or operational needs. Updated Terms will be published through website announcements, page prompts, in-site messages, emails, or other reasonable means, and will take effect from the effective date stated in the updated version.

If you do not agree to the updated Terms, you should stop using the Voxsail Service. If you continue to use the Service after the Terms are updated, you will be deemed to have accepted the updated Terms.

To help us handle your matter efficiently, you may need to provide identity information, account information, order information, project names, relevant screenshots, proof of rights, or other necessary materials. We will respond within a reasonable period after receiving your request and completing necessary verification.

19. Governing Law and Dispute Resolution

The formation, effectiveness, performance, interpretation, and dispute resolution of these Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules.

Any dispute arising from or relating to these Terms or the Voxsail Service will first be resolved through friendly negotiation. If negotiation fails, either party may bring proceedings before a competent people's court at the operator's domicile.

20. Miscellaneous

1. These Terms constitute the complete agreement between you and us regarding the Voxsail Service and supersede any prior oral or written agreements between the parties regarding the same subject matter, unless the parties have entered into a separate written agreement.

2. If any provision of these Terms is held invalid, unlawful, or unenforceable, the validity of the remaining provisions will not be affected. The invalid, unlawful, or unenforceable provision should be interpreted or replaced in accordance with law to the extent closest to the original purpose of that provision.

3. Our failure or delay in exercising any right under these Terms does not constitute a waiver of that right.

4. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer our rights and obligations under these Terms due to merger, division, asset transfer, business adjustment, or other legally permitted reasons, but we will protect your lawful rights and interests in accordance with law.
